Be careful with this asshole:

He is obviously quickly trying to capitalize on the current state tax action taken by Amazon. Setting up a business/corp with the intent of helping consumers dodge/break tax laws will get you jail time.

States already have a "use tax" Basically what this means is any product shipped to you from out of state or another country (magazine, shoes, music, books, furniture, etc) has to be declared and the appropriate state tax percentage paid April 15th.

I once had a mega lifestyle audit done. This is basically a cavity search audit of not just income but each and every penny spent. One item I was hit for was the tax on magazine subscriptions. The sales tax plus interest and penalties. Since ignorance is not a valid excuse when audited you are guilty.

He is offering to help you set up a corporation with the sole intent of depriving states from collecting taxes for which there is already laws on the books.

Do what you want and by all means first talk to an attorney or your CPA. But fuck this douche nozzle sallyrand and his intent to capitalize on the current situation.

There is no intent to deprive states of sales taxes and my solution for affiliates in no way deprives anyone of anything but instead will restore the ability of banned affiliates to earn.

My solution in no way derpives any state of sales tax income but does allow affiliates to re-up with Amazon such that they can earn.

I therefore challenge L-Pink to show wherein I intend to deprive any state of legitmate taxable income or be banned from this site.

I will offer a safe haven for Amazon affiliates in a state which does NOT ban Amazon affiliates and which DOES collect sales tax for sales in that state. The location of the affilate business entity is the legal key.

My solution is legal, ethical and will prove profitable for those who choose to utilize it.

Marion, you do not understand how businesses work.

Even if you setup a company for them, THEY are still PHYSICALLY located in California and still obligated.

Yes, you're free to register your company in any state you want, but at that point you become a foreign corporation/company in the state you're physically located in and still have to play by home rules.

Correct me if I'm wrong...

What I said above is EXACTLY why Amazon is getting out of the CA biz. AMAZON does not have a presence there, but THEIR AFFILIATES do and therefore, AMAZON will get hammered because state taxing authorities choose to recognize affiliates as an extension of the sponsor company.

That is why anything you're trying to offer is ILLEGAL.

We aren't talking about Corporate income taxes. We are talking about sales taxes. Each of those Ford cars are taxed in the state they are "used" as in "use tax' .

Ok so the state you live in requires you to pay tax on any items you buy from another state. The IRS would not care about sales tax so I'm guessing this was a state income tax audit?

but they also pay taxes in Michigan, unless they shift money out or whatever tax scheme there is that companies do to lower their taxable income

It was a Federal audit that the state just happened to come into after the first week. But you are correct the use tax is subject to state law only.

Not offering tax advice, accounting advice but have one Hell of a lot of experience in setting up corporations and that is all that I do in connection with them. I simply fill out a form and provide documents; all legal and above board.

Had you the slightest idea of my plan you would have STFUed some time back but you wil in the morning, except that you won't STFU. Your real fear is that I do have something of value to offer and you don't but htnak you for your concern.

It should be remembered that such giants an Henry Ford, Walter P. Chrysler, John D. Rockefeller, Howard Hughes, Earl Muntz and Thomas Edison had no college degrees and barely finished high school...or not.

Degrees are not an indicator of knowledge.

Ok, then how about some proof of actual success in that field? Maybe a reference or three? Or perhaps just a list of a few corporations that you helped set up that managed to make it through a whole year and still be in good standing?

Something that shows that you have any credibility in the field that you are claiming expertise, please.

And by the way, by stating that you have a way for California Amazon affiliates to be able to keep operating in a legal and ethical manner you are indeed offering advice above and beyond the filing of a couple of pieces of paper.

Its states desperation for income they cant get other ways...but we have no interest either in circumventing anything. We pay our sales tax with a smile, pay host and affiliates and have a happier life for it.

I wish we could get rid of the crooks on this board. We would all make so much more money and get much more cooperation out of authorities on things such as content theft, if these folks just did not exist or were allowed to exist in our community.


Also, remember folks if you sell hard products in California the rate changes TONIGHT at Midnight!

It was time consuming and expensive. My attorney insisted my CPA be the one that took all questions. It was embarrassing to be honest, made worse because some petty civil servant was drooling to find something. To make matters worse we were building a house at the time and that also fell under scrutiny as well as my retail business being audited.

The state was interested because any monies hid from tax concerned them also.

I ended up paying more in legal/accounting fees than taxes on disputed income.

If anyone is going to set-up an out of state corporation I seriously doubt you want to do it in Kansas anyway. Delaware, Nevada, etc ..... But not Kansas and not with this con man.

Choker, I know someone going through an audit right now similar to what L-Pink described. It's not for sales/use, but rather the IRS looking for any morsel of unclaimed income or improper/incorrect deductions. Line by line, check by check, credit card charge by credit card charge.

He started getting extra special attention back when he sold a commercial building for a few million. He only had something like a 15% share and they were doing a 1031 exchange, so taxes were minimal or even non-existent. The IRS wanted to peg him for the for 100% of proceeds and didn't want to recognize the 1031. It was a big mess and he sued the IRS and won.

You never want to have to sue the IRS because you'll surely be on their radar going forward. Of course they'll never admit to that.

Actually, no, as when I bought the parent company, some corporations were "included" in the deal but all had been sold by the previous owner and evidently the purchasers for whatever reason simply chose to NOT renew those coporations.

Not my issue, not my problem.

Nothing illegal about that.

Actully you are wrong on several counts, the first being the use of FAX. Soooooooooooooo 1980s.

Secondly, you can indeed "fill out" the online forms for Kansas incorporation but what are you going to do about those two other pesky requirements?

The first requires a PHYSICAL location in KANSAS for the corporation and the second requires a REGISTERED AGENT, physically located in Kansas WITH a PHYSICAL mailing and service address also located in KANSAS?

You were discussing morons?

I can offer all of those things and will in a legal manner to any banned Amazon affiliate at a cost which is normall bout one fifth of the amount that places like Legal Zoom charge.

And with most online services, you get to PAY for corporate resolution samples; I provede them free, you get to PAY for corporate bylaws; again free with my service.

With virtually ALL other online services you PAY extra for Resident Agent service; I include it for one year.

And with other such sercices, you're going to have to come to Kanasas and RENT a physical location for your corporatioin. A post office box will not work in Kansas.
