Nice to see the GFY community come together. Maybe that's what his/her whole purpose in life was... to make the GFY community finally unite as one big dysfunctional family.

Goal achieved... time to move on.

The first requires a PHYSICAL location in KANSAS for the corporation and the second requires a REGISTERED AGENT, physically located in Kansas WITH a PHYSICAL mailing and service address also located in KANSAS?

You were discussing morons?

I can offer all of those things and will in a legal manner to any banned Amazon affiliate at a cost which is normall bout one fifth of the amount that places like Legal Zoom charge.

And with most online services, you get to PAY for corporate resolution samples; I provede them free, you get to PAY for corporate bylaws; again free with my service.

With virtually ALL other online services you PAY extra for Resident Agent service; I include it for one year.

And with other such sercices, you're going to have to come to Kanasas and RENT a physical location for your corporatioin. A post office box will not work in Kansas.

Again, provided FREE with my service.

And if you need an EIN and goof up the rather complicated online form, you get to start all over and may not get your EIN for WEEKS! EINs are negotiable with my service.

You were saying just what about morons?
Who the hell would want you as their registered agent? That is far too much responsibility for someone with gender identity confusion and other questionable things that may or may not be true that people linked to from this forum.

Secondly, who would want a Kansas corporation? What does that state offer that others don't? Don't tell me the answer is you and MrMaxwell.

If someone is going to register an out-of-state corporation its better just to rent a presence service from an executive suite. Talking $50 a month at a lot of places. Also get a lawyer for registered agent because if the lawsuits come, you're gonna appreciate having them around. You certainly don't give all of that responsibility to someone like you.

If too cheap or poor to do this then probably don't have much incentive to not register at home anyway.

Worry not, there, epitome, there are plenty of banned Amazon affiliates seeking an inexpensive solution to their problem and since I will be offering such a solution here and elsewhere, I will do just fine. The Executive Suite idea is cute but impractical and unnecessary.

Banned Amazon affiliates CANNOT register at home because their states are BANNED! did you not realize that this is the main point?

Try reading the thread again.

I have nothing to do with what he's trying to set up.. I simply am willing to accept someones traffic and pay them 90% commissions.. I don't see HOW someone could make that illegal.

I think that what rand is trying to do is legal in the face. I also think that it's far from being bullet proof, too.

As others have said, there's no reason to incorporate an anything in this state (Kansas). DE and NV are THE states to incorporate under. Always have been.

I once had a mega lifestyle audit done. This is basically a cavity search audit of not just income but each and every penny spent. One item I was hit for was the tax on magazine subscriptions. The sales tax plus interest and penalties. Since ignorance is not a valid excuse when audited you are guilty.

He is offering to help you set up a corporation with the sole intent of depriving states from collecting taxes for which there is already laws on the books.

Do what you want and by all means first talk to an attorney or your CPA. But fuck this douche nozzle sallyrand and his intent to capitalize on the current situation.

If they sign up for your service and continue to physically do business in CA don't they have to register as foreign corporations in CA?

Nothing illegal about that.
Well, first, I do not see anywhere in there where I indicated that there was a question of legality involved so I am not quite sure why you addressed that issue, but be that as it may.

So, when did you buy the parent company because the dates that I see looks to me like you have been doing this since some time in 2008 or so (unless of course I am reading something wrong) and some of those show a creation date after the date I associate with you.

Also, this is the second time I have heard the story about buying someone else's stuff and inheriting, etc etc etc. The first time you answered as your alter ego and kind of indicated that you had been in the service (or something that you got discharged from) and the dates you gave then did not make much sense to me either.

Would you mind elucidating a bit?

Thanx in advance...

Amazon's affiliate opearting agreement states that if you are a resident of one of their banned states you are not permitted to participate in their affiliate program.

Quote:
In addition, if at any time following your enrollment in the Program you become a resident of California, Colorado, Illinois, North Carolina, Rhode Island, or Connecticut, you will become ineligible to participate in the Program, and this Operating Agreement will automatically terminate, on the date you establish residency in that state. In addition, you must promptly notify us in writing of your California, Colorado, Illinois, North Carolina, Rhode Island, or Connecticut residency, which you may do via the Contact Associates Customer Service form available here.
So since forming a company outside of one of the banned states does not change where ones lives how would it help?

The business entity, which is registered with Amazon, that is a KANSAS corporation is NOT a "resident" of California and Amazon does not and cannot control where employees of that corporation live, nor does it have any interest in who works for a corporation.

Well their terms do not mention business entities just where program participants live and those that live in CA can't participate. I guess you can say that a program participant that is a corporation does not live in CA but if the work is being done from California than I think you need to register as a foreign corporation there which may make Amazon liable to collect sales tax there and thus they would probably not be too happy if they found out.
