yes not even virtually...this can be done without ANY downtime

Pretty hard in some case when you have a shitload of software but always doable, ask your host to help you.

Why not? Set up the dedicated first, make sure everything works and after that change the DNS (or if you're keeping in the same host, have them change to where it points).

If a host is telling you that they can't move you seamlessly then you should run away screaming. Seriously.
