LLC vs. S-Corp
Pro's Cons of each. Which is better suited for what type of person?

the taxes on the S-Corp are inviting...but the stricter rules deter me.

I have one of each.
S-Corps are typically of the sole-proprietor variety of entities and LLC's are advantageous as partnerships. And, for me, the only reason I have the LLC is because my partner is a foreigner. You can't have share holders who are not US citizens or resident aliens with an S-Corp. Taxation wise, S-Corp is a better deal than an LLC, for me at least. Now, go get an accountant as your circumstances are unique, no matter what you think.
