Both are about the two best states to incorporate in.

Neither, incoroporate in your own state and file for S corp status with IRS. Unless you making over 5 million a year, you won't save any money on your taxes with Nevada or Deleware corporation.

Deleware costs more than half the legal fees to incorporate so I guess that is a bonus. As for incorporating in your own state, this is for an international business incorporating in the United States for the purpose of credit card processing, hosting, etc.

If you are a US company I would incorporate in your home state, for a foreign company I would choose Deleware.

I understand Nevada to have a little more privacy and anonymity than Delaware, but your mileage may vary.

Delaware became big years ago because they consistently sided with corps when it came to litigation. Sense then most states have adopted the same attitude. Nevada is the best state in the US when it comes to privacy. You can appoint nominee officers as well as have a nominee set up a bank account in their name. Basically you become an employee and although you still make all the business decisions, you are not listed as an officer on the company records. There are several Nevada companies that can give you a lot of options (multiple companies, trusts, etc.) that can not only protect your privacy, but also your assets. It can cost about $5k to really do it right, but if you have a lot at risk, it's not that bad.
