Non-US Citizens Forming US-based Companies

Hi

I'm a swedish resident and I've been running my hosting business through my swedish company during the last year. As I've got most US-based clients I'm thinking of forming a US-based company.

What I need is someone helping me forming the US company AND helping me with tax-issues. Does anyone know of such a company? Could an account fulfill my needs?

Give me any related links or information that you've got, I'd be grateful for any advice I could get

PS. I'm not looking for companies just helping me form a company (such as mycorporation.com), I'll need help with taxes etc too.

The guys at www.adultinternetlaw.com specialize in this kind of stuff for adult internet companies. They won't go so far as to do your taxes for you but will put you in touch with a US accountant with experience in international tax law for that side of it.

I would research the Nevada corporations companies and find one that can do all the required paperwork and docs for the corporation on a yearly basis for starters.

Then I would ask them to suggest two or three accountants for you to interview either via telephone or email in order to make a selection.

There are a lot of companies out there doing Nev corps, I'd look to stay in Clark County if I could and make sure your minutes and all that good stuff is getting updated by the company along with taking care of all business licensing if needed etc.

I agree with Kimmy's suggestion, as Nevada seems to offer the best US solution for non US citizen principals.

Setting up a "corporation" is fairly a simple process, however your need, as described is for "corporate presence"

I have both had new corporations set-up for me, and I have also bought a "shelf" corporation that has been on books for 5+ years. shelf corporations are corporations that were previously established, complete with all registrations and established bank account. Although they have had no "activity", they are "clean and current" and have been official business for X number of years, which looks great on the companies DUNNs report, and corporate history searches.

In short, corporate presence is physical business address, listed telephone in business name, local business license, local bank account etc.

You as a non US citizen should look at Nevada, because the State of Nevada corporation law allows a corporation to have "contract officers" who aree not the actual owners, but appear and sign off on required corporation registration documents. In your case, the contract corporate officers would be US citizens would move your corporate set-up without the need for disclosure of you being a non citizen owner.

In Nevada, the shareholders are the owners of a corporation, not corporate officers. Nevada does not require the disclosure of shareholder names.
