traffic/link trades

when doing traffic/link trades, what are the factors that people look at and how do they verify it.

i think when people are doing link trades they see if the site has the same range of traffic as your own? is it the same niche/type of site? am i correct or what are any other factors and how they verify it.

btw anyone know any really GOOD stats/counter programs either free or paid.
