What are some of the important things to look for on a website when doing a link exchange to boost SE ranking? back links, # of pages indexed etc.

You shouldn't waste your time exchanging links. They basically cancel each other out. What you need to do is get other sites to link to you without you linking to them.
As far as what sites to target, make sure that the site is at the very least indexed by all the major search engines. You also want to see if the have a Google PR. You should also check there Alexa Ranking to see if they get any traffic to speak of. A site that gets more traffic is better to get a link from.
You should also make sure that the link to your site is not "cloaked" or on a dynamic page. At the very least the link won't do you any good, but it could contribute to getting you banned.
Also, look not only at how many back links they have but also who's linking to them. If they have links from quality sites then their link to your site will help you.

One-way links is best. Reciprocal Links with similar theme are good. Lastly, any link to your site is better than no link at all. There is no need to worry about who links to you because there is nothing you can do to control that. However, be careful who you link to because you can control that.

Actually it does matter. I you get links from Free For All sites and link farms you will get banned. So it does matter who links to you, especially if your site isn't very well established.

I'm according to you jeff419, I think it's necessary be carefull with website that link to your. in that same problem I'm right now (I guess) I'm not banned in any website, but when I released my site I began to exchange links with website with low PR, so now I see I dont get any PR but my alexa is lower... now my question is.... why my alexa is lower and my PR is cero..

Google guidelines google.com/webmasters/guidelines.html warns about who a site links to, not who links to it. If links to a site can get it banned, then any competitor can get its rival's site banned anytime by launching thousands of links from banned sites to its rival site. Yahoo can launch billions of links against Google to get it banned. But I think Google will jump to PR11 instead.
There is really nothing you can do about other people posting your site links whereever they want to.
a site may be banned if these, in extreme, are not followed:
Avoid hidden text or hidden links.
Don't employ cloaking or sneaky redirects.
Don't send automated queries to Google.
Don't load pages with irrelevant words.
Don't create multiple pages, subdomains, or domains with substantially duplicate content.
Avoid "doorway" pages created just for search engines, or other "cookie cutter" approaches such as affiliate programs with little or no original content.
About duplicate content: There are professionals out there in the business of duplicating other people's top10 sites. Do a search on your own site content and see if something comes up. If there is too much duplication, that could be an issue to chase down. Here is where the dilemma lies, that Google guidelines specifically frowns on duplicate content. Thus I guess in this case, the webmaster has to chase down duplication of his site. But no one really has the time to do so, and the best bet is to modify his/her own site to be different again. So in this case, you can do something about the duplicate content even when others make a thousand copies, unlike the links that link to your site which there is nothing you can do about...
