What state to incorporate in?
 
Anyone have any suggestions on the best state to incorporate? Im hearing Nevada alot. Thoughts??? Also is there any internet incorparation sites anyone would recommend that is... a speedy one?

Delaware is supposed to be the best for most corporations but Nevada may be better for porn. Personally I would incorporate in Alaska.. if someone wants to sue you for anything they're going to have to travel to Alaska to do it, who the fuck wants to goto Alaska.

i don't think that would work. they could still sue and not have to be present. easy as calling a lawyer in alaska and sending them a retainer :)

I would suggest look first at the state you live in because that is where your physical presence is. Otherwise you will have to go to more expense to set up a minimal presence in the state you want to set your corporation/LLC in. If you are thinking Nevada is good because they are more tolerant with porn/obscenity concerns it really isn?t going to make a difference if your day-to-day business operations are carried out in another state. Criminal liability attaches were the criminal act took place. The fact that you have a PO box and registered agent in Nevada is not going to take the heat off if you are actually running your business out of say Missouri. For the most part state business entity acts are set up on model statutes so there isn?t all that much variation state to state. You have to be comfortable traveling to the state you set the entity up in. If you are sued by anyone civilly you have to travel to that state to defend yourself even a small claims suit.

I have heard Tx. and Fl. because of various tax laws, along with Nv. of course. You may want to look into it?

Your own state is where you want to incorporate, unless you are planning to go offshore or something.

Otherwise, in order to open a local bank account you'll have to register as a "foreign corportion" and just go through even more bs every step of the way. You'll have to file some sort of a return as a foreign corporation in your own state anyway.

In most states you will will only pay $200-$300 a year "franchise tax" as long as you work it out so that the corporation only breaks even and doesn't make anything.

All of this assumes you live in the U.S., that is.
