A Corporate Presence in the US
 
Many of you have written about how the new VISA CC rules would require an Offshore company to have a Presence in the US.

I'd like to clear up some issues regarding forming a Corporation in the U.S. of A.

First, don't go looking for a lawyer. Lawyers sue corporations. That's their job. They don't set them up, they try to tear them down.

You need a Full service Resident agent who can provide you with a Corporate Strategist, someone who can spend some time to analyze your business and suggest the appropriate Corporate strategy.

Second, forget about LLC's and S-Corps. They are pass-thru entities as far as the IRS is concerned and there is no way to protect the IDENTITY of the owners. Go for a C-Corp.

LLC and S-Corps are good for people who move from a home based business and anticipate a lot of startup costs.
Most of you are making good money and should take the deductions a C-Corp can offer. Almost EVERYTHING is DEDUCTABLE for a C-Corp, even condoms.

Third, where to form your entity? Nevada, Wyoming or Delaware?

I'd pick Nevada for the following reasons. No Corporate income tax, No Taxes on Corporate Shares, No Franchise Tax, No Personal Income Tax, No IRS Information Sharing, ONE person can hold all offices in the entity, Minimal Disclosure Requirements and Stockholders are NOT Public Record.

Plus the Vice President of the entity is not required to be listed on the Initial or the Annual list of officers. The board of directors can approve a resolution that the VP can run the company by his/her self. They resign, the other officers resign and the VP runs the entire show and NO One can find out who that person is. Lists of officers and directors are only required to be filed once a year on the anniversary month of the birth of the Corporation.

A good Corporate strategist can help you set up a Nevada Corporation that virtually makes NO MONEY and PAYS NO U.S. TAXES.

They can also get you a bank account in Nevada and a virtual office with an address and phone number.

"Thank You for calling Big Fucking Tits, Inc how may I direct your call" and they forward it to you. If you need something like that.

I'm sure you are wondering what a Full Service Resident agent will SOAK you for this.

Anywhere from $900 - $3000 depending on what services you need.

If You want to incorporate in Nevada and be anonymous, this can happen.

So think about that for a while and of course do your OWN research.

I am a liittle bite confuse.

(1) Am I need to have a Corporate Presence in the US in order to use Visa and Master services? I don't see it in the ibill email.

(2) Does Nevada allow company to do porn business? Does it allow hardcore and SM things?

Any information?

That's cool -- so you pay taxes on your earnings from employment of this corp? Or does the corp have other expenses like corporate beachhouse, corporate car, corporate food, etc. etc...? :)
