Govt has taken their eyes off Microsoft finally, time to chase another whale.

Google is coming very close to getting a "microsofting". The last thing free market regulators want is an overtly dominant player. I would actually expect to see this deal either rejected completely or subject to serious restrictions that Google will break and get in major shit over.
