Need real adult webmaster legal help
 
been on the board almost three years. just using this new name to be a bit on the downlow.

basically...

started a paysite with 2 other partner. we each legally owned 33.3% at the opening of the site. we were up to 1800 members a month as of november 2006. well, the partner "c" sold his share to partner "a" and basically partner "a" shut me out of everything claiming he owns 66.6% of the site and doesnt have to pay me anymore. am i shit outta luck or whats my opinions? i know i have some legal rights or bill gates would have done the same thing. im guessing i should get a lawyer but i cant just open a phone book here. so, any legal advice + adult lawyer recommendations are welcome. im located outside of seattle and hes in ohio.

Do you have a coperation and a shareholder agreement? Sales of shares and control issues should be in your shareholder agreement. Were you offered to buy half of the shares too?

You may be SOL on control and spending issues as he has the deciding vote, but distributions should be based upon percentage owned. Your new majority partner may decide to vote himself or others salaries/bonuses or a high expense accounts.

Back to your corporate papers and shareholder agreement. what does it say?

BTW just if something is in the aggrement doesn't mean the law which governs the contract (jurisdiction should be spelled out in the contract) will support it.

Get a lawyer and NOT and internet lawyer. This is not an internet issue but a business law issue for a company that happened to do business on the internet,

Get a lawyer and don't go with a lawyer that specializes in the internet.

we were inc'ed together. everything is legal. i would hire a local lawyer, but its a little tough when you mention porn site :] thanks for the links guys...hopefully things will work out.
