How can I structure this Deal?
 

We are starting a new network of pay sites and we don?t have the money to buy a lot of exclusive content?..well any exclusive content!!!!:winkwink:

But????..

We have a studio willing to provide us with exclusive online rights to their ?B Roll? content.

They told us to just come up with some kind of back end percentage.

They are a smaller studio that specializes in creating niche content for a major distributor?.they do about 1 to 2 titles a month or 96 to 140 scenes a year?..(really good content)

I need help coming up with a deal that will incentives them to work with us now that we don?t have the money to get exclusive content?..but not lock us into a big % deal that we will be stuck with.

What I am trying to find out is:

1. What are105 scenes a year really worth in a 5 site network?
2. What performance guarantees should we ask for from them?
a. (X) number of scenes per month
b. (X) number of Site Related Photo Shoots
3. What?s a good %
a. Should I pay a royalty for the first few years that converts into a smaller piece of ownership
b. (OR) make them partners from the start

We just want to make sure we get the most return on investment possible?.The wrong deal could spell disaster for us?
