Prime consideration... above all, is all about you penzo. This covers stuff like where you are currently resident and whether you intend to physically be "offshore" - ie not resident in your home country.
If you are within the US, first get a experienced offshore lawyer. They may tell you what you don't want to hear - but better you know.
If you are outside the US (and not in Lybia or Saudi).. then things are easier.
Next is what jurisdiction you wish to form a corp... they all vary. Next is, given a choice, deal direct with offshore lawyers within that jurisdiction.
