How much Playboy paid for Adult.com
 
May be I'm late with this news.. but Playboy's recent SEC filings said they paid $12 million for an "online distribution business" which I am told is ICS.

"At the end of the third quarter, we acquired an online distribution business to complement our current online business for consideration of $12.0 million, of which $8.0 million was paid at closing, with an additional $2.0 million payable on each of the first and second anniversaries of the closing. Pursuant to the asset purchase agreement, we are obligated to pay future contingent earnout payments, payable over a five-year period, based primarily on the financial performance of the acquired lines of business."

"In order to create opportunities to promote our websites to a broader audience and enhance our current product offerings, at the end of the current year quarter we acquired an online distribution business with an extensive affiliate network. Pursuant to the asset purchase agreement, we are obligated to pay future contingent earnout payments, payable over a five-year period, based primarily on the financial performance of the acquired lines of business. As contingencies have not been met as of September 30, 2005, these amounts are not recorded. If future payments are made based on contingencies being met, amounts will be recorded as a combination of additional purchase price and compensation expense."

I'm still not sure what ICS stands for..but..it says that on my aff. checks that I have gotten from AdultPlatinum/Realitycash/Playboycash.

I think it's great for Lens and the crew and they can sit back, relax, and enjoy!

yeah thanks. i listened to christie say that she was uncomfortable talking about the specifics of the ICS addition and told investors that they would provide 'highly leveraged traffic'.

Whats really going to be interesting is that Playboy is a publically traded company. Those type of audits are a bitch and justifying every cent is part of the game. Not going to leave any room for error in justifcation of income, based on sale, payouts to affiliates. :winkwink:

It is a good TGP though, just need minor changes and it will make a huge proffit, just didnt have time for it since I'm working on bigger projects :winkwink:

I'm guessing that will add to the price tag significantly. Furthermore, Lens will still receive wages, etc. for operating the company.

You can bet those targets/contingincies are high - gotta earn those by growing.

very hard to cash out of this business - Lensman might be the only one who has - other big programs have to stay in biz because there are really no buyers out there that have 12 million dollars in cash to buy anything.

Congrats to Lens & Playboy... win/win situation. Too many people mis-reading it as "ONLY" $12M. There's more money down the pipeline based on performance & revenue goals/growth. $12M may not be a lot in mainstream, but in Adult, it's one of the largest deals out there... can't wait to see who buys Playboy. :winkwink:

Being public has many disadvantages, as everybody can see what you are doing. We sometimes have the same problems, but I guess that is the price of being public.

The adult business will undoubtedly continue to grow in the future and investing in this sector is a smart move. Companies are going to become more and more corporate, vanish, or be purchased by larger organizations.
