Most corps and LLCs are based out of DE because of very liberal (ie., business friendly) corporate rules. Such corp rules involve shareholder suits and liberal leeway for 'business judgment' lawsuits. These rules don't help small corps as much as they help when these corps get big.

I think it's because you don't have to submit your ID or even live in the US to own one.
