Forming a corporation in the US
 
i need some help with the basics.

i'm going to create a corporation specifically fo my online ventures:)

keep in mind that i am no baller here, i do not make 100k a year.(i may be the only GFYer to ever admit that:1orglaugh )

should i go with LLC or S- corp?

is there a site where i can go and register and search to see if my corp name is taken?

etc....

any, and all info that you can help me with i will really appreciate

what kind of corporation do you have?

every state has different types of benefits for each different type of corporation class

a nice Deleware LLC for the least amount of paperwork required....a nice NV Corp with nominees if you got a few extra bucks to blow...and don't mind hiring someone to do that paperwork for you...

There are a few website services that you allow you to do the entire process online.

If your solo, I would go with S-Corp. Best to ask both an attorney and an accountant.

Also ask about which state you would want to inc up in. Everyone talks about Delaware and Nevada, and it's nice and all, but it might not be worth the headache, because you need to prove that you do business in that particular state. That's the way it was explained to me. So, I may be incorrect on that, you might have no problem and would benefit from inc'ing up in those states.

The 2 corps that I've setup have been in Cali. I went through a lawyer too. When you file the papers for Inc, the state department will do a check to make sure that business name is not already taken. ( Well, in cali that's the way it works)

Hey man, I just talked to a lawyer about this same thing on Tuesday. I'm getting a s-corp set up once I think of a damn company name. Going to cost me around $800 but it will be worth it. Saves money on taxes.

no, i can tell who knows how to do business and has respect.

when i dealt with you, it was all mutual respect and it went smooth.

sometimes i think its either the broke nobodies who are all in a rush and being a pain over things, and sometimes the big wheelers expect to be given free rides or dealt with differently. stand up guys who are working hard for their shit, treat others with respect.

i really try to deal with people on the same level, i hate dealing with assholes...
