Incorporating in the US....which state is best?
 

I'm getting ready to incorporate my business..... this question is to any of you guys incorporated in the US.

Which state do you feel is the best and why?

Delaware.

I've heard Delaware is the place to do it as well...

Nevada or Delaware are the best. I prefer Nevada.

deleware is what i always heard for mainstream companies...

but all the companies i've seen so far are california, nevada, florida incorporated

for tax purposes florida and nevada dont have a corporate income tax as well as delaware...

what would make delaware better than either of those 2?

companies in those states get audited more ;)

what about an IBC ?

anyone here go that route?

Yeah, pick somewhere without any state tax... Utah is tax free also.

Nevada is based off of Delaware's laws, both have great privacy protections in place. Nevada has no corporate income tax, doesn't collect that corporate tax information with the IRS, no franchise tax, and one person corporations are allowed.

Meetings can be held anywhere for both states, but come on, where would you really want to hold an annual shareholders meeting? At your local Holiday Inn eating chewy chicken over lunch, I want mine in the VIP room of Cheetah's :Graucho

It depends keep in mind that if you incorporate outside your state you need to have a address of record or something like that. Meaning you need to have an address or representative in the state you incorporate to handle corporate business, now usually if you incorporate at a site like bizfilings.com they can do this for you for yearly fee. If you are a US corp I would suggest corporating in your state to save on these fee's unless incorporating in another state and the taxes you save will save on these fees.

i've heard that some of the big guys switched from US corps to IBC's to keep from being bound by not only US law against "obscenity" but also because international VISA/MC it much more leanient towards adult sites?

is that all a bunch of bunk or is there something to that?

There's a lot of problems with legally working with porn in utah, though. It's probably not the best place to be an adult company.

are all the companies that run in california incorporated in Nevada or Delaware? Seems like at least 80% of porn sites are shooting there if not headquartered there.

florida was going gonzo for a while but now the uptite conservatives old people we have here are going crazy......i swear they were ready to behead bubba the love sponge for talking about porn on the radio let alone filming it
