Incorporating?

What is the best/least expensive way to incorporate? Can anyone point me in the right direction?

Thanks!

Well its never cheap unless you know exactly what you are doing. But most lawers and some accountants do it for you for about $600. I do recommend that you incorporate in a state that has no state tax, so that you dont have to pay that extra $$. If youre an internet site, this will not be a problem.

We are licenced in washington state for example, hence do not have to pay city or state taxes.

If you live in the US, go to a lawyer and say, "Hey, I want to incorporate!" There are hundreds of different ways to incorporate and each has its own set of tax laws and liability laws. Unless you're willing to spend many hours researching such things, it is worth paying $500 or so to have a lawyer do it for you.

please first, answer a couple of questions.
1. what is your purpose for forming a corporation?
2. what is your citizenship?
3. where is your business currently located?

We're in Washington State, too....I love not having to pay the state....

Also, I believe Delaware is another state without that pesky state thing.

There's a site called:

The Company Corporation

I didn't use them, know nothing about them; but, perhaps you'll get an idea of the cost and what you need to do to incorporate.

based on your response, I would suggest incorporating in the state of Nevada.

there is no state corporate income tax. Nevada allows your corporation to have what is reffered to as "contract officers".

There are many nevada law firms that provide this service. This is a big benefit, because you can enlist the professional services of others to fill the public reported corporation officers roles.

Nevada does not require the disclosure of (shareholders)corporation owners. Each year, nevada corporations must report the corporation officers, and at least 1 director must be named. the reportable officers are... PRESIDENT, SECRETARY, TREASURER, DIRECTOR.

You may choose to create a corporate resolution, appointing you as a VICE PRESIDENT. Nevada law does not require the public reporting of VICE PRESIDENT.

Since you are a US citizen, you can apply for the corporations EIN, however you may also use a professional service to do this application. the EIN tax id application does ask for the name and SS number of person completing tax id application.

The firms i have hired can also open a bank account for your corporation, and then they sign it over to you.

If you need additional information, let me know and i will point you to the firm that handled my nevada incorporations.
