If you are talking about modifying the theme to give the site a new look you have two choices.

1. Find a different better theme than the one they are using now, upload it and activate it. Depending on how much content their site has it may work perfectly, but you may also have some issues with it.

2. Modify the existing theme to update the site. If you want to do this, sorry, but it is more of an involved process than can be simply described in a few sentences in a thread. My advice, if you are hellbent on doing this yourself, would be to do some searches for what you want to change on the site. There is plenty of good information and tutorials out there, but it isn't something you are going to learn in a few minutes.

If you are building a site from start again it would be very hard to find someone who will guide you, specially if you don't know much about wordpress, since this is hard process involving a lot of learning and time. If you do complete website upgrade your best bet is to find some theme, premium or free and install it. If you are just updating wordpress, it's a click of a button in Dashboard > Updates.

let me google that for you. :) j/k, BUT, Seriously man, it's really not hard, you just have to look around a little bit. Get yourself a localhost (with php and mysql) (XAMMP or native if you are on mac). install a local copy of wordpress and start customizing the theme. Trial and error is the best way if you want to really be able to make things the way you want them.
