ffmpeg is open source, works on many variations of linux and aix/bsd/solaris etc/etc

yes - i already figured from other board what ffmpeg can do this. also i know this software good enough. but thanks for replies anyway ;)

I don't know about linux... but I highly recommend xilisoft converter - it can convert any type of file and even really obscure ones

Anyhow - you're going to probably want to tweak some of the features, otherwise your flvs will come out looking like shit.
