BROKERAGE
1. Customer understands that DigiPawn is also in the business of domain name sales and brokerage. In the course of this business, DigiPawn may receive various communications as a result of the “whois” listing for the domain. Said offers may include offers to buy, rent, lease or otherwise use the domain in DigiPawn’s possession. Any and all offers regarding and relating to said domain shall be the sole and exclusive property of DigiPawn. Customer agrees that it shall pay to DigiPawn a brokerage fee of 10% of the gross selling price as reasonably determined by DigiPawn after review of the contract. Both parties agree that any and all Brokerage issues are governed by the provisions of the DigiPawn Brokerage Terms of Service, as amended from time to time, as contained on our website .

2. During the term of this Agreement, Customer may decide to sell the Property (domain name, content or both). Because administering a sale creates substantial amount of extra work for DigiPawn, Customer agrees to pay DigiPawn a commission based on the sales price of ten percent (10%). This administrative fee shall be paid in consideration of DigiPawn administrating any of the following: administrating the sale, transferring the domain, collecting the money due and/or disbursing the proceeds of the sale. The proceeds of any sale shall be disbursed by DigiPawn only after deduction of any fees and commissions due to DigiPawn, including all money due under this Agreement as well as the ten percent (10%) administration fee. Both parties agree that any and all Brokerage issues are governed by the provisions of the DigiPawn Brokerage Terms of Service, as amended from time to time, as contained on our website.


CUSTOMER REPRESENTATIONS
Customer hereby promises, warrants and represents the following to be true and correct and to be the basis of this Agreement:
1. The Customer represents and warrants that the Property is not stolen, rented, or leased, and that he/she/they have no liens or encumbrances against the Property.

2. Customer also attests to be the rightful owner of the Property, and that Customer has the right to pawn, pledge and/or sell the Property.

3. Customer attests that the Customer is not in voluntary or involuntary bankruptcy of any type.

4. Customer hereby certifies that he/she is at least 18 years of age. Customer must forward a clear photocopy of his/her driver’s license or some other form of picture identification with the signed copy of this Agreement.

5. Any property pledged to a Pawnbroker, including DigiPawn, within Georgia which is not redeemed within 30 days, which is the Maturity Date of the pawn (if the 30th day is not a business day then the following business day), is automatically forfeited to DigiPawn (the Pawnbroker), and absolute right, title, and interest in and to the property vests in and is deemed conveyed to DigiPawn (the Pawnbroker) by this contract and by operation of law, and no further notice is necessary. The Customer is not obligated to redeem the Property, which is the pledged goods.

6. Proper identification required on all redemptions. The person redeeming the Property must confirm receipt that he/she has received the account registrar account information. Upon transfer of this information to the Customer, Customer then becomes solely responsible for the management of the domain and the registration thereof. DigiPawn shall have no responsibility for the registration or control of the domain after transfer of the registration information to the Customer.

WAIVER OF PROTEST
Each Customer does hereby waive presentation of payment, notice of nonpayment, protest, notice of protest, or notice of DigiPawn’s taking of the Property as provided herein and does hereby agree to any extensions and renewals of this Agreement, without notice.

WAIVER OF LIABILITY
Customer hereby waives, releases, acquits and forever discharges DigiPawn of and from any and all liability, action, causes of actions, claims of any nature, including negligence or gross negligence, demands, damages, costs, loss of services, expenses and compensation, on account of or in any way growing out of this pawn transaction. This waiver of liability includes any claims of damages that may arise from any negligent actions of DigiPawn, its agents, employees, contractors, and specifically its registrar. Moreover, the Customer understands and waives any claim or liability against DigiPawn resulting from any claims arising out of a failure to renew a domain or the hijacking of a domain by a third party. Even if a Court of competent jurisdiction should find this provision unenforceable, the parties agree that DigiPawn’s liability shall not exceed the Finance Charges collected from Customer by DigiPawn.

WAIVER
No delay or omission on the part of the DigiPawn in exercising any right hereunder shall operate as a waiver of such right or of any other right under this Note. A waiver on any one occasion shall not be construed as a bar to, or waiver of, any right or remedy on any future occasion.

MISCELLANEOUS
As used in the Note, the word "DigiPawn" shall mean the payee, as well as its employees, agents, successors and assigns. DigiPawn shall have the right to assign the agreement and the rights and obligations hereunder. Customer shall have the right to assign its obligations hereunder provided said assignment is approved by DigiPawn in writing with said approval not being unreasonably withheld. The word "Customer" shall mean each of the undersigned, as well as its agents, representatives, employees and assigns. If this Agreement is signed by more than one person in the capacity of Customer, it shall be the joint and several liabilities of such persons. This agreement will be binding and effective upon receipt of the Amount Financed by the Customer, customer should note that at any time prior to the issuance of payment to Customer, DigiPawn may decline to go forward with the agreement without recourse. Moreover, customer should note that in the event DigiPawn declines to go forward with the agreement, then Customer shall be entitled to return of its domains and that no other recourse shall be due to Customer. All rights and obligations herein are cumulative. It is further understood and agreed that this contains the entire agreement of the parties hereto, and the terms of this release are contractual and not a mere recital. In the event of litigation or arbitration, the losing party shall be responsible for all the attorney's fees of both parties.
