is it is simple as i think it might be.

setup the mysql and WP on new machine.

drag contents of posts and themes and css and all from the old wp db to the new one?

Nah, dude, just get the sql db over to where it's supposed to be, and run install with those same details in the wp-config.php. Then bring your template over and activate.

download the wordpress files, upload to the new one. Then make the database, get a dump of the database and upload to the new database. Then check the site by the IP to make sure it is working. Then point to the new nameservers.
