Just got this email from IBILL

I'd like to begin by communicating how much we truly value your selection of
iBill as your online transactions processor. We strive to provide the
absolute best in customer service and technology infrastructure and
appreciate your confidence in our abilities. Through your support and
loyalty, we've been able to assume and maintain a true industry leadership
position.

That said, iBill has been presented with an opportunity that will ultimately
allow us to strengthen our service and technology capabilities. I'm very
pleased to announce that iBill has agreed to be acquired by InterCept, Group
Inc. a publicly traded company that is a leading provider of banking
technology products and services for community financial institutions. The
company is listed on the NASDAQ market under the symbol ICPT and is based in
Atlanta, Georgia.

I can assure you that this is a very positive move for both iBill and each
and every one of our customers. iBill will continue to be based in Fort
Lauderdale, operating as a subsidiary of InterCept. The core management
team that has been in place at iBill will remain in place and operations
will continue in a very similar manner as they have in the past. After many
years of building the company, Albe Angel, our Chairman and General Counsel,
will become the Chairman of a joint venture that is sponsored by iBill and
Tocatta called DebitPayments.com. Although he will not be involved in
day-to-day operations, iBill will still have a strong relationship with him.

place, including the sales, customer service, and technology teams. As a
matter of fact, we will be adding members to each of these groups.

Becoming a part of InterCept presents a number of advantages for our

technology infrastructure. It allows us to add staff to our customer
service team to enhance the response time and overall level of support. It
allows us to offer advanced product and service offerings. InterCept's
strong relationships with financial institutions will allow iBill to provide
more efficient credit card and check processing. Finally, with InterCept's
support, iBill will benefit from a strengthened relationship with credit
card associations.

With more than 1,300 employees in fifteen states, InterCept is recognized as

include core data processing, check processing and imaging, electronic funds
transfer, and data communications management. InterCept's revenues were
$130 million in 2001.

What a crock of shit. They couldn't hack it so they sold out instead of losing their ass. iBill is going to lay off a bunch of people and turn over all their databases to another small company Intercept bought that has yet to make a dime. Good luck!
