Registering a company

What site online do you use to file for a company?

Also, If i want to be my own agent (concidering most places charge yearly fee for being an agent).. Is there anyway I can register in deleware, and not live there and be my own agent?

To register a company, as a corporation which I think is what you are talking about, is done through the secretary of state in whatever state you are talking about. I'm sure you'll have no trouble finding it just by typing in google "(Name of your state) Secretary of State." Unless your in some backwards hell hole and they don't have forms online.

The resident agent is so that processes can be served. E.g. if somebody sues you, the deputy or whatever delivering the process has a way to get ahold of you. This is important because a process must be served before a lawsuit can take place. The resident agent address must be in the state of incorporation, and can not simply be a PO Box. You'll probably have to hire a resident agent or just simply put a friend down and have them sign for it. The friend won't have any power over your company, but would receive lawsuit processes, so you should at least tell them that might happen.

A lot of corporations do register in delaware because the State has a long history of being nice to companies in terms of it's laws and the state also has a long long case history dating way back. Our legal system is the Common Law system, except Louisiana, meaning law is often made and changed by how the courts interpret previous cases. I think you'll be just fine registering as yourself as resident agent in whatever state you are in.

You also might want to look into IRS.gov and get form 2553 which can make you an S-Corp, and form SS4 (to get a tax-ID # which you will need on the 2553). The tax ID number you get will be the same number you put in "Employee Number" in the 2553. Also, if you are in any affilliate programs that require a social, you can use that tax-ID number instead.


Also, you probably won't need a local business license unless you are dictating employees when they have to show up for work. For accounts and coders, this is definately not the case if they work on a free lance basis.

You can also open up a checking account by getting a fictitious firm name, FFN, from whatever county government you are in, that way people can just write you checks as "Your Business," instead of Your Name.
