Deleware does have corp state tax ONLY if you do biz in their state or have a physical presense there...

also in regards to Privacy, the nice thing about Deleware is that when you file your formation paperwork, NObody is required to be on a list of officers...

Nevada ALWAYS requires a list of officers be filed yearly, but for a price you can rent a CEO...if you need a source to setup your NV private inc beep me on ICQ....


otherwise for the cheap, private and out-of-state operation tax standpoint I'd vote for DE....

What about incorporating in DE or NV and then operating in CA? Doesn't CA still require out of state corporations to register if they plan to do business in-state?

I believe every state requires foreign corporations that have a presence in that state to register with them. You will have to file a return and pay whatever franchise taxes are required of a "local" corporation as well. I'm not (yet) sure if the foreign registration would cause you to lose the privacy adbantages gained by incorporating in DE.
