pros / cons / fee's / how long is the process/ better to incorporate in nevada or florida?

your opinions please...

Check " signature:" choose the state , the type of incorp and the services on line. Fast ( about 5-7 days).

In my opinion, to simply incorporate, just for the sake of incorporating is worthless. You have to ask yourself, why do you need to incorporate?

Some popular reasons for those in this industry include, asset protection, increased anonymity,

You will also have to ask your self, are you prepared to go all the way?

For example, Nevada is widely known to be a corporate friendly state. Nevada's corporate law, as an example allows for the use of "contract officers", and the annual filing requirements are minimal. If your plan is to base your corporation in Nevada, that's great, however if you are planning to run the show in Florida, there will be additional elements you will need to have in place.

Although, a Nevada corporation is recognized nationwide, and beyond, each jurisdiction has laws / procedures that will give you the green light to OPERATE a NEVADA corporation in your home state.

Sorry if I have confused you, but it is difficult to cover all the points needed to be considered in a forum response.

I like Nevada because I am able to have "corporate presence in Nevada" for a fraction of what it would cost me to base myself in my home location. This is the part I asked previously, are you able/willing to go all the way.

I believe having the corporate presence is just as important, as the incorporation. One without the other is half way to nowhere.

Corporate presence can be quickly described as having a Nevada address for your business, with some sort of signage which displays your business name, in public view. I hired the services of a firm which specializes in delivering the total corporate presence package, for a fraction of what it would cost me to do on my own. My company name is one of a couple thousand business names listed on a building directory, in the lobby of a Las Vegas office tower.

"Presence" continues with the las Vegas telephone service in the companies name. With the type of phone service I use, for about $40 per month, I am able to have a las Vegas phone in my home which is actually 1900 miles north. Because I have contracted "corporate officers" for my corporation, it provides me with privacy. The firm I use also got my tax id, business license, bank account(s), for me without having to ever travel into the states (Nevada). Hope this helps, and good luck. keep in mind that if you incorporate in a state in which you do not reside, you will have additional things you must do.

1. You will have to apply to do business in your state that you live in as a foreign corporation and pay fees to your home state as well as the state you incorporate in.

2. You will have to pay to maintain a registered agent in the state you are incorporated in.


Read up and get educated on all aspects, pros, & cons before jumping into anything.

Personally I would contract one of the Nevada firms specializing in setting up those corps. They can create and maintain all the documents etc that you will need to run a business in Nevada, and should guarantee in writing that their service is in compliance with what you need to keep someone from piercing the corporate veil from that standpoint.
You will also need an accountant who is well versed in dealing with corporations outside your home state to advise you and set up any part of your business that is run elsewhere -- and to advise you on how you can and cannot do things like spend money in order to maintain the corporate veil from that standpoint.
Incorporation is good, Nevada is really good -- however just starting a corporation somewhere is not worth it if you do not follow the rules to the letter -- you can find yourself personally liable very quickly if you do things like co-mingle funds, etc.
