It's less an ethical question (if the guy prefers you, your friend hasn't really lost a whole lot, has she?), than a practical one.
Whatever the wrongs and rights, she is going to be p*ssed. Only you can take a guess at exactly how upset she will be and whether hooking up with this guy is worth it to you.
