Created UK company, never used it

A few years back I created a UK company which I never used. Apparently I am being fined now for not filing tax returns in the UK.

It looks like it would cost a bit of money and hassle to get it all taken care of and I'm wondering what would happen if I just said "fuck it" and left it alone?

Can I be extradited from the US? What would the penalties be?

I doubt you would be extradited lol

But the fine will continue to rise, and you could be barred from opening another UK company in the future...

You will be extradited and hung for crimes against the crown and the queen will cut your head off, you'll be drawn in half then quartered.

If you never used it, it should have been a dormant company and the annual return to Companies House should have said so. If no annual return to Companies House was made, it should have been struck off the register of companies, and once that happens the IR can go fuck themselves.

If it's registered as dormant you don't need to file tax returns, did an accountant set it up?

The Inland Revenue aren't actually that bad to deal with to be honest, unless you really owe them a lot of money and they think you're deliberately hiding it. Customs and Excise are a different matter.

I never did anything with it after I set it up. I was trying to get EU processing at the time to avoid Visa fees but that ended up being a bad idea and I just bit the bullet and did it all with my US company.

Nope they are not that bad to deal with as long as you sort it out and dont just think they will drop it, I know from experience of owing money to them when I was self employed for 5 years.

you should have registered it dormant, you will also need to pay companies house the yearly registration fee of £15 or what ever it is for each year, tax returns can just say nil. Just call them and they will sort it with you - i've had numerous companies and they've always been really easy to work with.

Should of, would of, could of ... get a accountant to file the paperwork. Negotiate a reasonable fee for the services, and keep a clear record with Inland Revenue. You never know when you will want to form another LTD in the UK.
