You are right, they are basically the same.

You can actually make a clean install with the cheaper upgrade version:

It's always been like that. Back in the day you could just buy the upgrade, call up MS and tell them you only have a restore disk for your comp and not an actual windows CD. They'd give you a key that made the upgrade the full verison.
