Computer for the grandmother, INTC or ASUS?

Dig this I have to put a new board and CPU in my grandmothers computer.
I notice that on tiger direct I can get either:

Intel D865GVHZL Intel Socket 478 Motherboard MicroATX Motherboard and an Intel Celeron D 350 3.20GHz Processor
    or
Asus P4V8X-MX Via Socket 478 MicroATX Motherboard and an Intel Celeron D 340 2.93GHz Processor with Fan

I'm not too thrilled with the Intel 945 series board my Pentium D is sitting on because the onboard sound sucks.. what is the best choice here between those two, the price is the same,

I'm leaning towards ASUSTEK... I've owned ASUS in my day and they're solid as all hell except for when they have a memory controller fan those always go out. I figure that getting up to ASUS and getting the fan with it makes it worth sacrificing around 200mhz in clock speed.. are there any inherent differences other than clock speed between those two cpus?

I've not owned many INTC cpus so I was also wondering do they come like AMDs retail or oem? They actually sell an INTC cpu without the HSF and cute packaging?

    Thanks,
    The Fred

I don't know your grandmother, but 200 MHz wouldn't make much difference for mine

I would pick the bundle with the fan and safe some money.

Intel CPUs come OEM and Retail, some places sell both, some places only sell one or the other. I don't recommend Intel to anyone though, but that's because I'm an AMD fanboy. ;) For a grandmother, I'd get whatever is cheapest. Speed and all the frilly addons just don't matter to most people. I doubt she's a hardcore geek. ;)

I've been using ASUS for years and years, never had one single problem with their mobo's...

          I went with ASUS tek

The reason I went with INTC cpu was because they're more reliable.
The stupid AMD cpu will burn up quicker than you can piss on it.

I got my first AMD CPU back in the 486 days and I've had every iteration of AMD CPUs since then, and I've NEVER had one burn up. I've got an AMD64 3800+ X2 running at 2.7ghz right now(default is 2.0ghz), and it straight smokes. Runs really cool too, 44C. That's under full load. When it's idle, it runs at 32C. My buddy has a new P4, and under full load, it's at almost 70C under full load. Fuck that. =)
