    Incorporate in Nevada? Online business?

    O.K. So I have heard about all the supposed benefits of forming a S-Corp in Nevada.

    I have also read about the draw backs.

    If my business is 100% online. Do I still have to register as a foriegn business entity in my state I live in?

    Does anyone have any advice or past experiences they would like to share on forming a corporation in either Delaware or Nevada?

      If you have a business location that you're doing business out of then you still have to pay B & O.

      S-Corp is very comparable to an LLC and the LLC taxes are SOOO much easier to track. And, its not hard to go from an LLC to a corp. But its not legally possible to go from an S-Corp to an LLC.

      Start with an LLC and then go to the S-Corp.

      I'll save you $500 bucks and tell you this:

      Lawyers are here to look at things for a viewpoint of liability (pesimistic view). Accountants are here to look at things from a financial perspective (an optimistic view)

      Lawyers will tell you to get an S-Corp because althought technically S-Corp's and LLC's have the EXACT same legal boundaries...the S Corp has a larger body of law to work off of. Accountant will tell you LLC because its much easier to manage and there just isn't any real advantage to the scorp
