There is a $100 price difference in the Windows XP home edition and the upgrade. Obviously I don't want to spend $200 for the home edition unless i need it.

You'll need some version of windows installed in order for it to be upgraded.. Or when running the upgrade, you'll be asked to insert the cd from a previous os version..Comment

No you definately can not you need FAT32 or NTFS related OS to upgrade from. Upgrades are generally considered "mud" in the computer industry as any upgrades that you do do will bring across or magnify any current issues with registry etc your having with your OS, always better to Reformat and start fresh
