Assuming she doesn't get the nomination, I doubt she'd want a spot on Obama's cabinet, anyways. It's still be another roll of the dice come November, and - assuming he wins - she'd be forever related to Obama's Presidency and Policies.
She'd be playing second fiddle to someone other than her husband for the first time in her career.
On the other hand, without having to worry about the presidential elections, she's free to pursue another elected post in the term elections (Senate, House, Mayor, Governor, or do whatever else she wants to do), and be available for possible other go in '12 if things don't go extremely well for the Democrats either this election or for the next 4 years.
Sitting on Obama's cabinet doesn't seem the right play for her - even if it was an option.
