Somewhat true. The VAST majority are still in Delaware actually. The reason is not for tax and privacy - its for investor relations. See in DE, shareholder-investors (passive) can take the company to this special court if the company starts to fuck up in ways the shareholders don't like. This actually gives shareholders a lot more power and usually makes investors a lot more interested.
