If I was you I would go pick up the book "The Zone Diet" by Barry Sears. You don't have to actually follow "The Zone" but Barry is great at breaking things down and giving you a visual representation of what you can eat and what you shouldn't eat. He even tells you how to eat somewhat healthy at fast food places.
As far as a grocery list is concerned...
Coke Zero, Crystal Light, The new foil Tuna packets are great, All natural peanut butter, No Fat Natural yogurt (great when blended with fruit). Surf over to http://www.bodybuilding.com and look up some reciepes for your own meal replacement protein bars using all natural peanut butter. Pre-bag chicken breast cut into pieces the size of your closed fist. Make food 3 days ahead of time and ziplock all of it.
Eating better is the easy part...making time to eat healthy is the toughest thing to do and is the reason most people fall out of their diets.
