do you actually have to keep accounting for this new US incorporated company ?
if yes, who does it for you ? is it an accounting company ?
Aslo, do you have to file accounts with the IRS and might in the future be audited by IRS ?

The incorporation thing seems very clear for me and also cheap and fast...but i really dont get the accounting /IRS/audit accounting part and also who does this for you if you are not in the US...
