that how you can do it:
open the avi file in virtual dub, put a watermark plugin (look for one via google) and than use virtual dub has a frame server.
from that point you can load the vdr file into tmpgenc to encode your mpeg with the watermark, also mainconcept mpeg encoder can be used if you want a paid program.
in this way i also do mpeg2 (vob files) into mpeg files.
