It depends keep in mind that if you incorporate outside your state you need to have a address of record or something like that. Meaning you need to have an address or representative in the state you incorporate to handle corporate business, now usually if you incorporate at a site like bizfilings.com they can do this for you for yearly fee. If you are a US corp I would suggest corporating in your state to save on these fee's unless incorporating in another state and the taxes you save will save on these fees.
