Jimbo writes: Luke, I was listening to your show tonight and thought I would share what I know about the NOOF and Xpays deal what feel through at the last minute. My sources are very good as I am friendly with all parties involved. This all started late in 1999 when Evan and Micheal from XPays became financially strapped do to several business deals they were upside down on. Also rumor on the street is that XPays was trying to sell out because of the impending AOL lawsuit they know they are going to be hit with. It is common knowledge that AOL is going after spammers in suit after suit.

It got so bad at XPays that they did not have funds to pay office rent, or even their own car payments for a few weeks in November and approached several well known net porners for loans. Upon receiving minimal help they decided to sell Xpays.

First they went to Vivid to sell but Vivid knew too well XPays did not have much legitimate webmaster traffic. So then from what I know they approached NOOF with a stock and cash deal. NOOF was interested but upon digging deeper the deal fell through when Greg Dumas started to look into the sources of Xpays traffic. While this was going on he was informed by Brad Shaw about the massive amounts of AOL spam Xpays was dealing in. NOOF being a public company did not want to touch this with a 10 foot pole.

Xpays has since cut back on the AOL spam as part of a plan to unload to another company and fear of the upcoming lawsuit. I hear they are still for sale at a price closer to $600,000 rather than the $5million+ I have seen posted on chat boards.

Xpays was quite upset when word leaked to Brad Shaw about the deal falling apart. They have gone to the point to threaten him with a lawsuit if he did not shut his mouth about the failed deal. IN addition they had one of their cronies approach him at IA2000 and warn him to shut up or bodily harm may be inflicted.
