Headway is released under the GPLv2. Right from their site. If you purchase this from them you have certain rights as per the GPL.

And these guys know he's well within his rights too. Check out how they word their ToS. No mention of the actual software, but the service. You're paying to access the download updates and the support. Because GPLv2 let's everyone do what they want with the code.
