Be careful of the Securities Act of 1933 -- if you are offering an investment opportunity it is the same as selling stock and an annoucement like this is akin to a Public Offering. Not sure if you did your claim of exemption under 504,505 or 506, but be careful all your I's are dotted and T's are crossed. Also you will need to check what are called Blue Sky laws in any state where you are looking to raise capital.
