As Notabook said it depends on the chocolate. The chemical in chocoalte that is toxic to dogs is Theobromine. Caffeine is also found in chocoalte but in much smaller amounts.

Theobromine has the following effects: Central Nervous System (CNS) stimulant, Cardiovascular stimulant and increased blood pressure.

The toxic dose of Theobromine (and caffeine) for pets is 100-200mg/kg.

Unsweetened (Baker's) chocolate = 390-450 mg Theobromine per oz chocolate. Cocoa powder is a similiar concentrate. Semi-sweet is a bit less than half of the Theobromine content as Baker's chocolate. Milk chocolate = 44-60 mg Theobromine per oz chocolate. White chocolate also has Theobromine but in such small amounts that toxicity is very unlikely.
