for a moment lets consider you have that money - if its for a business deal then look at what the bank charges for that money, add 5% then get shares making sure anything of tangible value (computers - offices etc) are in your name so that if you dont get paid - you can at least sell and make some back.
Make sure your lawyer is in this - and even when it comes to friends etc. - never allow yourself to feel emotions or sympathy. It is business !
